Some offerings on I-Bankers Direct are offered through Section 4(a)(6) of the Securities Act, also known as Regulation CF, which has certain qualifications that must be met before an investment can be processed by I-Bankers Direct. How to I get in touch with the company?

You can get in contact with a company by interacting with them on their website, which is linked in the top-right-hand corner of the Virtual Data Room, underneath their logo. Am I able to invest in the company?

You do not need to be an accredited investor to invest in a Reg CF offering. However, unaccredited investors are subject to further restrictions, and should be aware of the risks.

If you are not an accredited investor:

  • If your annual income or net worth is greater than $100,000
    • Your investment must be limited to the 10% of the lesser of your annual income or net worth, at a maximum of $100,000.
  • If your annual income or net worth is under $100,000
    • Your investment must be limited to the greater of $2,000 or 5% of your net worth.
  • If you have invested in a Reg CF offering within the last year, you must not exceed the limits stated above for a 12 month period following your last investment.

What are the risks?

These Reg CF equity offerings are only suitable to investors that are familiar with and willing to accept the high risk associated with private placement investments, and are able to bear the entire loss of the investment. These risks include future dilution of your stake through subsequent rounds of fundraising. It may be difficult to resell the securities as well.

How do I invest in the company?

To invest in this offering, please send any indications of interest to Mike Marshall,, or the Managing Director. Our Managing Director will send you materials necessary to open an account with I-Bankers Securities, Inc. Any indications of interest will not be charged until the company has reached its closing investment amount. If the closing amount is not reached, you will not be charged. You may rescind your indication of interest at any time. When the closing investment amount in indications is reached, the Managing Director will contact you to facilitate the transaction. Your funds will be held in escrow and delivered to the issuer. Transactions cannot be canceled after they have been transferred to the issuer.

How do I receive my shares?

Once the investment process is completed, please contact the Issuer in order to receive your shares. I-Bankers Direct will provide you with relevant contact information for the issuer, but does not guarantee, insure or act as a mediator for the delivery of shares in private offerings, such as those offered through Reg CF.

What kind of offerings does I-Bankers Direct list?

Not all offerings on I-Bankers Direct are Reg CF offerings. I-Bankers Direct offers debt and equity investment opportunities through the Securities Act: Title II Crowdfunding (Reg 506(c)) as well as Reg 506(b), Title III (Reg CF), and Title IV Crowdfunding (Reg A+). Please note all equity offerings made through the portal run the risk of dilution from further rounds of investment.

How is I-Bankers Direct compensated for Reg CF offerings?

I-Bankers Direct is given an 8% success fee and 10% of the offering amount in the securities that are being offered in the case of a completed offering. An issuer may also decide to engage with I-Bankers Direct for newsletter fees of $2500, further newsletter and social media outreach for an additional $2500, and direct marketing for an additional $5000. How are I-Bankers Direct’s promoters compensated for Reg CF Offerings?
When an issuer pays for a “curated” engagement, with standard retainer pricing of $10,000, our registered representatives may be compensated for promoting the offering through direct email and phone, as well as for investor list segmentation and research. The compensation amount will not exceed the standard retainer pricing.
